North America 2011 POLICIES


PRICING TERMS
• Net 30 with approved credit. (Terms are only offered to EEZYCUT® Brand Dealers that have been in good standing for 6 Months)
• Please pay oldest invoice first; indicate invoice and authorized dealer number on your check.
• Credit Card Purchases (Master Card / VISA) are immediate Credit Card charges.
• A monthly service charge of 2% will be assessed on invoices unpaid after the due date. In the event that this late charge exceeds the maximum permitted by applicable law, it shall be reduced to the legal maximum.
• Prices are effective January 1, 2011 - December 31, 2011.
• All prices are subject to change without notice.
• A service charge of $10.00 will be assessed on orders of less than $50.00. This does not apply to orders for repair and/or replacement parts.
• A $30.00 service charge will be assessed for all returned checks.
• A $20.00 service charge will be assessed for all declined Credit Card charges.
• Freight Free Orders not paid within specified terms will constitute the billing of the freight charges that were originally not billed.
• EEZYCUT® Brand products may only be sold at agreed upon store locations. Change of name, ownership or address must be approved in writing by OceanEdge Outfitters LLC, EEZYCUT® North America, in order for you to continue as an authorized dealer of EEZYCUT.
• Possession of a price list does not constitute an offer to sell. OceanEdge Outfitters LLC, EEZYCUT® North America reserves the right to accept or reject all orders.
• All authorized dealers of EEZYCUT products are required to maintain yearly minimum purchases of $650. In the event of a dealer not meeting these requirements, OceanEdge Outfitters LLC, EEZYCUT® North America maintains the right to discontinue its business relationship with said dealer.
• Special conditions differing from those indicated herein must be confirmed in writing from OceanEdge Outfitters LLC, EEZYCUT® North America. FREIGHT PROGRAM AND SHIPPING
• Freight Free/Allowance (Ground Service in the continental U.S.) on orders of $5200. (A 4% surcharge will be applied on orders to Hawaii). Ground Service Carriers in the continental U.S. are at the discretion of OceanEdge Outfitters LLC, EEZYCUT® North America.
• Past due accounts will not receive Freight Free/Allowance.
• Delivery to carrier constitutes delivery to purchaser.

RETURN AND REPLACEMENT
• Defective merchandise may not be returned without the consent of OceanEdge Outfitters LLC, EEZYCUT® North America.
• Authorized returns must be freight prepaid.
• All claims must be made within 10 days after receipt of merchandise, including shortages, or the claim shall be denied.
• All shortage claims must be done in writing and acknowledged by the OceanEdge Outfitters LLC, EEZYCUT® North America office in Hillsborough, NJ. All shortage claims require the original shipping cartons from OceanEdge Outfitters LLC, EEZYCUT® North America to be in the possession of the consignee. Therefore, cartons may not be discarded until an investigation is provided by the freight carrier or EEZYCUT
• All returns must be authorized by OceanEdge Outfitters LLC, EEZYCUT® North America and be accompanied by an RA number and letter of instructions.
• Any return without an RA number on the outside of the package will be refused.
• A 15% re-stocking fee shall be placed on authorized returns of sale-able merchandise and on refused shipments.
• Freight will be billed on refused shipments.
• All resaleable merchandise must be returned in its original packaging and condition.
• Any defaced products will be subjected to a minimum 50% restocking fee. However, OceanEdge Outfitters LLC,  EEZYCUT® North America reserves the right to refuse credit on any returned merchandise.
• Discontinued items may not be returned for credit.
• All EEZYCUT® Brand products carry a one year warranty against manufacturer's defects, unless otherwise specified.
• OceanEdge Outfitters LLC, EEZYCUT® North America maintains the right to void any warranty within the one year period if product misuse/abuse is determined.

WARRANTY
1. OceanEdge Outfitters LLC, EEZYCUT® North America warrants *all products to be free of defects at the time of shipment and for a period of one year, or as otherwise specified within warranty coverage included with products. Warranty is only valid for the original purchaser and is not transferable.
2. Any products that prove to be defective within the warranty period may be returned prepaid to OceanEdge Outfitters LLC, EEZYCUT® North America. OceanEdge Outfitters LLC, EEZYCUT® North America must be contacted prior to the return and an RA number will be issued. EEZYCUT will repair or replace the product and return it prepaid. EEZYCUT reserves the right to substitute the product with a product of equal or higher value.

E-COMMERCE
 

E-commerce dealer minimum requirements:
• Dealer must maintain a retail storefront and offer all of the following services:
• Dealer must be an OceanEdge Outfitters LLC, EEZYCUT® North America Dealer in good standing.
• All EEZYCUT® Brand products displayed on a Dealer's website must be in stock and on display in the retail store.
All authorized E-commerce dealers are required to maintain yearly minimum purchases of $1560. In the event of a dealer not meeting these requirements, OceanEdge Outfitters LLC, EEZYCUT® North America maintains the right to discontinue its business relationship with said dealer.
• Dealer must notify OceanEdge Outfitters LLC, EEZYCUT® North America in writing of its desire to market EEZYCUT® Brand products via e-commerce.
• OceanEdge Outfitters LLC, EEZYCUT® North America will review the request and respond accordingly within 72 Hours. A written approval from OceanEdge Outfitters LLC, EEZYCUT® North America is required prior to offering EEZYCUT® Brand products for sale via e-commerce.

Website requirements:
• EEZYCUT Brand Products must be displayed as a higher priority over other line cutters/hook knives.
• All web dealers agree to embed the EEZYCUT promotional video within the product area or any other highly visible area within the website.
• Dealers may only advertise the EEZYCUT® Brand on their own pre-approved website.

 Minimum Advertised Price (MAP):
• MAP price represents a minimum advertised price of 100% of the MAP price as noted in the 2011 Dealer Price Guide.
• MAP designated products may not be advertised for sale at a price less than the MAP price.
• Any EEZYCUT® Brand products featured in a website must list the price as reflected in the Price Guide (MAP price or higher) within the body of the ad.
• Dealer must not use any words "discount," "cheap," "wholesale," or any phrases such as "never undersold," "cheapest prices," "lowest prices." "beat any prices," "blowout price" in conjunction with the use of any EEZYCUT® Brand content.
• "Call for price" or similar verbiage is not allowed when advertising EEZYCUT® Brand products.

Warranty:
Warranties are only valid to original purchasers of EEZYCUT® Brand products, and they are not transferable or valid on used products or any products sold through unauthorized businesses, including auction web sites.
